KALA Bio Signs LOI to Acquire U.S. Telehealth Platform for ~$15 Million; Shares Jump
KALA Bio, Inc. (KALA) said it signed a non-binding letter of intent to acquire 100% of a privately held U.S. management services organization supporting a provider-led telehealth platform for approximately $15 million, sending its shares up 26.94% to $0.63 in pre-market trading on September 30, 2026. The target operates in all 50 states and generated about $12.7 million in revenue for the 12 months ended August 2026, on unaudited figures. Since its 2023 launch, it has booked more than $48 million in sales and served over 90,000 clients, and is currently cash-flow positive. Services include GLP-1 weight management, hormone health, longevity and sexual wellness, plus at-home lab testing and AI-assisted tools. Consideration is expected to mix cash and KALA common stock, with cash drawn from existing balance-sheet resources. Final terms hinge on a 45-day due diligence period ending in November 2026, with closing targeted for late 2026 or early 2027. KALA closed September 29 at $0.50, up 11.79%, after a 1-for-50 reverse split on May 11, 2026.
