SoundThinking to Be Acquired by Transom Capital for Up to $11 Per Share; SSTI Jumps 50% Pre-Market
SoundThinking Inc. (Nasdaq: SSTI) agreed on September 29, 2026, to be acquired by Transom Capital Group in a cash deal valued at up to $11 per share. The public safety technology company's stock surged 50.10% to $8.21 in pre-market trading on the news. Holders will receive $8 per share in cash plus one non-transferable contingent value right worth up to $3 per share, tied to 2027 revenue milestones for the company's ShotSpotter and SafePointe products. The upfront consideration represents a 46% premium to SSTI's September 28 closing price and values the company at an enterprise value of roughly $114 million, potentially reaching about $159 million if the maximum CVR payment is made. Shareholders owning approximately 33% of outstanding common stock have agreed to tender their shares. The transaction is expected to close in the fourth quarter of 2026.
