Carta, NewView Partner to Streamline Startup Employee Tender Offers
Carta and NewView Capital have partnered to simplify tender offers that let startup employees sell shares before an IPO, combining NewView's secondary deal-structuring experience with Carta's equity platform. NewView founder and managing partner Ravi Viswanathan said the goal is to make it easier for CEOs to launch employee liquidity programs. Tender offers for Series C and later-stage startups are projected to triple over the past three years, according to a joint NewView-Carta study, with 44 executed in the first half of 2026. The practice is spreading beyond the most valuable private companies such as OpenAI, Databricks and Anduril. Last year NewView led a tender for marketing customization startup HighTouch at a $1.3 billion valuation. Viswanathan said tender offers serve as retention and morale tools as companies stay private for 12 to 15 years. Recent participants include AI customer support startup Decagon, self-driving developer Wayve and AI voice generator ElevenLabs, which ran two offerings in under a year. He said the overall share of startups launching tenders remains relatively small.
