Anthropic Files S-1 for Record IPO, Discloses $80.75 Billion Net Loss and Extensive AI Safety Warnings
Anthropic filed its S-1 registration statement with the SEC on October 26, initiating an IPO that market reports suggest could raise up to $100 billion, potentially setting a global record. The five-year-old AI company disclosed its finances, governance and safety risks publicly for the first time. The company reported a net loss of $80.748 billion for the first half of 2026, of which $72.388 billion stemmed from fair-value changes on convertible notes, derivative liabilities and SAFE agreements rather than operating losses. Second-quarter operating income turned positive at $974 million, an 8% operating margin, while operating cash flow was positive $3.929 billion. Anthropic's dual-class structure gives a single Class F share held by the founders' LLC 50.1% of voting power; public Class A shareholders are capped at 49.9%. A long-term benefit trust appoints four of seven board seats. The filing commits at least $518 billion in minimum compute spending over the next decade, roughly 80% non-cancelable, including at least $111.1 billion to Google, $110 billion to Amazon and $31.4 billion to Microsoft.
