Anthropic IPO Filing Reveals Co-Founders' 50.1% Voting Control, Long-Term Benefit Trust Governance

Anthropic's S-1 filing discloses that its seven co-founders, including CEO Dario Amodei and Daniela Amodei, will collectively hold one share of Class F stock representing 50.1% of total voting power following the IPO. The founders will be members of a "Founder LLC" holding that share, allowing them to retain control even if they divest other holdings. The filing also outlines a Long-Term Benefit Trust whose five financially disinterested voting trustees—including former Fed Chair Ben Bernanke—will elect four of seven board directors. Anthropic, a public benefit corporation, reportedly seeks to raise more than SpaceX's $75 billion offering, though the filing does not state a figure. The risk section spans over 90 pages, about a quarter of the document. Cited risks include AI models producing undesirable outputs or behaving autonomously, and insufficient cash flows to service debt and fund capital expenditures. Co-founders wrote they may advance more slowly to make systems safer, even at a competitive disadvantage.
